1. Acceptance of these Terms
Your access to and use of the Website is conditional on your acceptance of and compliance with these Terms. By accessing or using the Website you represent that:
- You are at least 18 years of age, or the age of majority in your jurisdiction, whichever is higher
- You have the legal capacity to enter into a binding agreement
- You have read, understood and agreed to these Terms and our Privacy Policy and Cookies Policy
- If you are accessing the Website on behalf of a company or other legal entity, you have authority to bind that entity to these Terms
If you do not agree to any part of these Terms, you must immediately discontinue your use of the Website.
2. Scope and applicability
These Terms apply to all visitors, browsers, and other users of the Website. They are separate from, and do not replace, any Master Services Agreement, Statement of Work, Data Processing Addendum, or other commercial contract between Drona VR and a customer. In the event of any conflict between these Terms and a signed commercial contract, the commercial contract prevails for the matters covered by it.
3. Right to access; sole discretion
Access to the Website is granted at our sole discretion. We may, without notice and without liability, restrict, suspend or terminate your access to the Website (in whole or in part) at any time and for any reason, including but not limited to: violation of these Terms, suspected fraudulent or malicious activity, regulatory or legal requirements, business reasons, or no reason at all. We reserve all rights not expressly granted in these Terms.
4. Permitted use
You may access the Website to learn about Drona VR's products and services, evaluate them for your business, contact us, request information, download resources we make available, and engage with us as a prospective or current customer, partner, or vendor. All such use is personal, non-exclusive, non-transferable, revocable and limited.
5. Prohibited use
You must not, and must not permit any third party to:
- Use the Website in any way that violates applicable law, regulation, court order, or these Terms
- Attempt to gain unauthorised access to any part of the Website, related systems, networks, or accounts
- Probe, scan, test the vulnerability of, or breach any security or authentication measure
- Interfere with, disrupt, or impose an unreasonable burden on the Website or its underlying infrastructure
- Reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Website
- Use the Website to transmit malware, harmful code, or any content that is unlawful, defamatory, obscene, harassing, infringing or otherwise objectionable
- Use the Website to compete with Drona VR or to gather competitive intelligence for the benefit of a competitor
- Misrepresent your identity, affiliation, or the source of any content you submit
- Frame, mirror, or copy any part of the Website without our prior written consent
- Remove, obscure or alter any proprietary notices, trademarks, or watermarks displayed on the Website
6. Intellectual property and content
The Website and all content displayed on or through it — including but not limited to text, graphics, logos, icons, images, photographs, audio clips, video clips, data compilations, software, source code, page layouts, methodologies, frameworks, ROI calculators, buyer guides, RFP templates, case studies, and the design, structure, selection and arrangement of the foregoing — are the exclusive property of Drona VR, VB Engineering India Pvt Ltd, our licensors and / or our content contributors, and are protected by Indian and international copyright, trademark, trade-secret and other intellectual property laws.
"Drona VR", the Drona VR logo, "VB Group" and other trademarks displayed on the Website are registered or unregistered trademarks of VB Engineering India Pvt Ltd. Any third-party trademarks displayed (including Meta, HTC, Pico) are the property of their respective owners. Nothing in these Terms grants any licence to use any trademark.
You receive no licence, right or interest in any of the foregoing except the limited, revocable right to access and view the Website for the permitted purposes set out in section 4. All other rights are reserved to Drona VR.
7. Scraping, automated access, and AI / LLM training
You must not, and must not permit any third party (including any automated agent, bot, crawler, scraper or AI system) to:
- Use any automated means — including but not limited to robots, spiders, crawlers, scrapers, headless browsers, AI agents, or large language models — to access, copy, monitor, index, harvest or extract any portion of the Website except for general-purpose search-engine indexing by major search engines that respect robots.txt
- Use any content from the Website to train, fine-tune, evaluate, or otherwise develop any artificial intelligence or machine learning model, dataset, or system, except where you have obtained our prior written licence
- Aggregate, mirror, redistribute or syndicate any content from the Website without our prior written consent
- Bypass any technical measure intended to limit access to or use of the Website, including rate-limiting, IP-based access controls, or content-delivery restrictions
Drona VR's robots.txt file constitutes our instruction to compliant crawlers regarding indexing. Crawling that ignores robots.txt is unauthorised. Use of Drona VR content for AI training without an express written licence from Drona VR is prohibited and constitutes a material breach of these Terms.
8. User-submitted content and forms
When you submit content through any form, contact channel, or interaction on the Website (including names, email addresses, plant data, ROI calculator inputs, demo requests, RFPs, comments, feedback, or other materials):
- You represent that you have the right to submit it and that the content does not violate any law, contract or third-party right
- You grant Drona VR a worldwide, royalty-free, perpetual, irrevocable, sub-licensable, transferable licence to use, reproduce, modify, adapt, publish, translate, distribute and display such content for the purposes of operating our business, responding to your enquiry, improving our products and services, marketing (with appropriate consent where required by law), and training internal models on aggregated, de-identified inputs
- You waive any moral rights in the content to the extent permitted by applicable law
- You acknowledge that we are not obligated to maintain confidentiality of any content you submit voluntarily through public-facing channels (other than personal data, which is governed by our Privacy Policy)
We reserve the right to refuse, edit, or remove any user-submitted content at our sole discretion.
9. Third-party links and services
The Website may contain links to or embed services from third parties, including Bitrix24, Interakt, Google Tag Manager, Google Analytics, YouTube, Vimeo, LinkedIn, AWS, Cloudflare, and others. These are provided for convenience. We do not control and are not responsible for the content, privacy practices, or terms of any third party. Your use of third-party services is governed by their own terms and policies, and is at your own risk.
10. Disclaimers and no warranty
The Website and all content, materials, calculators, frameworks, ROI projections, benchmarks, case study data, comparisons, and information published on or through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, statutory or otherwise, to the maximum extent permitted by applicable law.
Without limiting the foregoing, Drona VR specifically disclaims all warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, timeliness, uninterrupted access, error-free operation, or that the Website will meet your requirements.
Any ROI projection, cost estimate, payback figure, benchmark, comparison, or business case displayed on or generated by the Website (including the ROI calculator) is for informational and planning purposes only. It does not constitute a guarantee of performance, financial advice, investment advice, legal advice, or a binding commercial proposal. Actual outcomes will vary based on factors specific to each operation. Drona VR's commercial proposals are issued separately and only after a discovery call.
Nothing in these Terms operates to exclude any liability or warranty that cannot be excluded under applicable law (including consumer protection law in your jurisdiction).
11. Limitation of liability
To the maximum extent permitted by applicable law:
- Drona VR, its affiliates, officers, directors, employees, agents and licensors will not be liable to you or any third party for any indirect, incidental, special, consequential, exemplary or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, business opportunity, or anticipated savings, arising out of or relating to your use of the Website
- The total aggregate liability of Drona VR arising out of or relating to your use of the Website, regardless of the cause of action (whether in contract, tort, statute, or otherwise), shall not exceed INR 10,000 (Indian Rupees ten thousand only) or USD 100 (United States Dollars one hundred only), whichever is lower
- The above limits apply even if Drona VR has been advised of the possibility of such damages and notwithstanding the failure of essential purpose of any limited remedy
Some jurisdictions do not allow the exclusion or limitation of certain damages. To that extent, some of these limitations may not apply to you.
12. Indemnity
You agree to defend, indemnify and hold harmless Drona VR, its affiliates, officers, directors, employees, agents, licensors and partners from and against any and all claims, demands, actions, losses, damages, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
- Your access to or use of the Website
- Your violation of these Terms
- Your violation of any law, regulation or third-party right (including intellectual property and privacy rights)
- Any content you submit through the Website
- Any unauthorised use of your account or credentials caused by you
Drona VR reserves the right to assume the exclusive defence and control of any matter subject to indemnification by you, in which event you agree to cooperate with Drona VR's defence.
13. Termination and access withdrawal
We may terminate, restrict or suspend your access to the Website (in whole or in part) at our sole discretion, at any time, with or without cause and with or without notice. Upon termination, your right to use the Website ceases immediately. Provisions of these Terms which by their nature should survive termination shall survive, including but not limited to sections 6 (IP), 7 (scraping / AI), 10 (disclaimers), 11 (liability), 12 (indemnity), 14 (governing law), 15 (arbitration), 16 (class waiver) and 18 (severability).
14. Governing law and jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of laws principles. Subject to section 15 below, the courts at Hyderabad, Telangana, India shall have exclusive jurisdiction over any dispute, controversy or claim arising out of or relating to these Terms or your use of the Website. You irrevocably consent and submit to such exclusive jurisdiction and waive any objection on the grounds of inconvenient forum.
15. Arbitration and dispute resolution
For disputes between Drona VR and any non-consumer counter-party, and to the extent permitted by applicable law, any dispute, controversy or claim arising out of or relating to these Terms — including the existence, validity, interpretation, performance, breach or termination thereof — shall be referred to and finally resolved by binding arbitration administered under the Indian Arbitration and Conciliation Act 1996 (as amended).
- The arbitral tribunal shall comprise a sole arbitrator appointed by Drona VR's Board of Directors, or if not so appointed within 30 days, by the appointing authority designated under the Act
- The seat and venue of arbitration shall be Hyderabad, India
- The language of the arbitration shall be English
- The arbitral award shall be final and binding on the parties
- Each party shall bear its own costs unless otherwise determined by the tribunal
Nothing in this section shall prevent Drona VR from seeking interim, interlocutory or injunctive relief from any court of competent jurisdiction in respect of breach of intellectual property rights, scraping, unauthorised AI training, confidentiality breach or similar urgent matters.
This arbitration clause shall not apply to consumer-protection disputes governed by the Indian Consumer Protection Act 2019, where statutory consumer forums have non-derogable jurisdiction.
16. Class action waiver
To the maximum extent permitted by applicable law, you and Drona VR each agree to bring any dispute against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. Unless both parties expressly agree in writing, an arbitrator may not consolidate more than one party's claims and may not preside over any form of representative or class proceeding.
17. Force majeure
Drona VR shall not be liable for any delay or failure in performance arising out of or caused by circumstances beyond its reasonable control, including but not limited to: acts of God, war, civil unrest, pandemic, epidemic, natural disaster, fire, flood, government action, regulatory change, denial-of-service attack, internet or telecommunications failure, third-party service outage, labour dispute, or any other event of force majeure.
18. Severability and survival
If any provision of these Terms is held to be invalid, illegal or unenforceable in any respect under any applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not capable of modification, severed from these Terms. The remaining provisions shall continue in full force and effect. The failure of Drona VR to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
19. Changes to these Terms
We may modify these Terms at any time by posting a revised version on this page. Changes are effective upon posting. The Last updated date at the top of these Terms reflects when changes were made. Your continued use of the Website after the effective date constitutes binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately discontinue your use of the Website.
